Stuff Ltd (NZBN 9429035992967), event organiser of Southern Cross Round the Bays (“Stuff”); and the charity or organisation (“Charity”) that selects and confirms a Charity Package as part of the online Southern Cross Round the Bays 2027 (the “Event”) booking process (together, the “Parties”).
Charity Packages are sold to the Charity by Grass Roots Company Pty Ltd, trading as Grassrootz (“Grassrootz”), acting as Stuff's exclusive Charity Fundraising Partner and reseller for the Event. These Terms and Conditions (“Terms”) apply to every Charity Package booked via that online process, regardless of which package tier is selected. The Charity's chosen package tier, and the price payable, are determined during that online booking process (see Section 1) and confirmed to the Charity in its booking confirmation – they are not selected or recorded in this document.
By ticking “I Agree” (or the equivalent acceptance mechanism) against these Terms during the online booking process, the Charity accepts these Terms in full and a binding agreement is formed between the Charity and Stuff on that basis. No physical signature is required for these Terms to take effect.
1. Package Tiers and Pricing
Three package tiers are available. The Charity selects its preferred tier during the online booking process; the tables below are provided for reference only. The applicable price is determined by the date on which the Charity's booking is confirmed via that process, as follows (all prices exclude GST):

5. Additional Terms
Relationship with Grassrootz. These Terms apply in addition to, and do not replace, your agreement with Grassrootz (including the Grassrootz Charity Package Terms and Conditions and Grassrootz Standard Terms). If there is a conflict about fees, the Grassrootz platform, or donor or participant data, the Grassrootz terms apply; for anything about the Event itself, the benefits in Section 2, or use of Stuff's or the Event's branding, these Terms apply.
Branding. Stuff gives you a non-exclusive, royalty-free licence to use the Event name and logo(s) solely to promote your involvement in the Event, for as long as your package is current, and only in a way that doesn't suggest Stuff endorses your charity beyond that. You give Stuff and Grassrootz an equivalent licence to use your charity's name and logo to promote your involvement in the Event.
Your obligations. You must comply with all applicable NZ laws (including the Charities Act 2005 and health and safety law), not misrepresent your relationship with Stuff or the Event, and not undertake promotional activity at or around the Event that Stuff hasn't approved. If your package includes an on-site presence (including the Event Hospitality Site add-on in Section 4), you must also hold public liability insurance of at least $2 million and comply with Stuff's Hospitality Terms and Conditions.
Changes, cancellation and refunds. Stuff may modify, postpone or cancel the Event where reasonably necessary. If Stuff cancels an Event in its entirety, Grassrootz will offer you the choice, in accordance with your agreement with Grassrootz, of: having your package resupplied at the same Event the following year; having it resupplied at a substitute Stuff event; or a refund of the amount you paid Grassrootz for your Charity Package, reflecting the benefits already delivered and donations already received. A change of venue within the same region, or a postponement within the same year, doesn't entitle you to cancel or claim a refund. Stuff is not otherwise liable to you if the Event is cancelled, postponed or relocated.
Ending your package. Stuff may end your package on written notice if you materially breach these Terms (with 10 working days to fix anything capable of being fixed), or if Stuff reasonably considers your conduct risks its reputation or the Event's. Your right to use the Event name and logo ends immediately when your package ends, and this does not affect any amount already paid to Grassrootz, which is dealt with under your agreement with Grassrootz.
Liability. To the extent the law allows, Stuff excludes liability for indirect or consequential loss and doesn't guarantee any particular level of donations, entries or fundraising outcome. You release and indemnify Stuff for any loss connected with your breach of these Terms, or your unlawful, negligent or unauthorised conduct in connection with the Event.
Privacy. Stuff handles any personal information you give it (such as your contact person's details) under Stuff's Privacy Policy (stuff.co.nz). Donor and participant data collected through the Grassrootz platform is handled by Grassrootz under its own terms, not these.
General. Stuff may update these Terms from time to time; the version current when your booking is confirmed applies. You can't assign your package without Stuff's written consent. These Terms are governed by New Zealand law.
